Agreement These Terms of Service govern your access to and use of Pulse Signals, including its strategy-building, file-processing and backtesting features. Pulse Signals is currently operated as an independent digital service and is not incorporated as a limited company. In these Terms, "Pulse Signals," "we," "us" and "our" refer to the operator of the Service. "You" means the person accessing or using the Service. By using the Service, you agree to these Terms, the Privacy Policy and the Risk Disclosure. If you do not agree, do not use the Service. ## 2. Eligibility You must be at least 18 years old and legally able to enter into an agreement. You may use Pulse Signals only where doing so is lawful. You are responsible for complying with the laws applicable to you, including restrictions relating to financial products, market data and trading activity. ## 3. What Pulse Signals provides Pulse Signals is a research and analytical tool that allows users to create, configure and backtest trading strategies using historical market data. The Service may allow you to: - Describe a strategy - Upload files containing strategy information or data - Convert instructions into testable strategy rules - Configure markets, periods and parameters - Run historical simulations - Review charts, metrics and test results - Save or revise strategies Pulse Signals does not execute trades, manage portfolios, hold funds or operate a brokerage account. ## 4. No financial advice Pulse Signals does not provide personalized financial, investment, legal or tax advice. A generated strategy, test result, metric or other output is not a recommendation to buy, sell or hold a financial instrument. The Service does not assess your financial circumstances, objectives, experience or ability to bear losses. You remain solely responsible for deciding whether to use a strategy or enter a transaction. ## 5. Backtest limitations Backtests are hypothetical simulations based on historical data and selected assumptions. They do not represent actual trading. Results may be affected by overfitting, look-ahead bias, survivorship bias, incomplete data, inaccurate data, parameter selection and simplified assumptions about trade execution. Backtests may not fully reflect spreads, commissions, slippage, liquidity, funding costs, taxes, market impact, order rejection, trading restrictions or changes in market conditions. Past performance does not guarantee future results. Pulse Signals does not guarantee that a strategy will be profitable or that live results will resemble a backtest. You must review the Risk Disclosure before relying on any output. ## 6. Automated output Pulse Signals may use automated systems, statistical methods or artificial intelligence to interpret instructions, process files, construct strategy rules or generate results. Automated output may contain errors or misunderstand user instructions. You are responsible for reviewing: - Strategy logic - Entry and exit conditions - Position-sizing rules - Instruments and markets - Time periods - Data sources - Fees and execution assumptions - Risk-management settings - Generated code or formulas - Backtest results The ability to generate or test a strategy does not mean that Pulse Signals has approved or endorsed it. ## 7. Accounts Some features may require an account. You agree to provide accurate information and keep your credentials confidential. Notify us promptly if you suspect unauthorized access. You must not: - Share or sell your account - Allow another person to use paid access assigned to you - Access another user's account - Circumvent account or subscription controls - Create accounts through unauthorized automation - Misrepresent your identity or relationship with Pulse Signals You are responsible for authorized activity performed through your account. ## 8. Uploaded content You retain ownership of files, data, strategy descriptions and other materials you upload to Pulse Signals. You grant Pulse Signals a limited, non-exclusive right to host, copy, process, analyze and display uploaded content only as reasonably necessary to: - Provide the requested functionality - Build and test strategies - Generate and display results - Maintain and secure the Service - Diagnose errors - Provide customer support - Comply with law This permission ends when the content is deleted, except for temporary backup copies and information that must be retained for legal, security or dispute-related purposes. Uploaded files are retained for up to 90 days as described in the Privacy Policy. You confirm that: - You own the uploaded content or have permission to use it - Processing the content does not violate another person's rights - The content does not contain malware or unlawful material - You have removed personal or confidential information that is not necessary - You will keep independent copies of important files Pulse Signals is not a permanent file-storage or backup service. ## 9. Prohibited uploads You must not upload: - Brokerage passwords - Private keys or recovery phrases - Complete payment-card information - Government identification documents - Malware or harmful code - Unlawfully obtained market data - Material that infringes intellectual-property rights - Personal information you have no legal right to process - Confidential information you are not authorized to disclose We may block or remove content that creates a legal, security or operational risk. ## 10. Broker referrals and compensation Pulse Signals may display or recommend a third-party broker and provide links through which users can open brokerage accounts. If you open, fund or use an account through a Pulse Signals referral, the broker may pay Pulse Signals a share of the revenue it earns from your account. This creates a financial conflict of interest. Pulse Signals has an economic incentive to refer users to that broker and may receive more compensation when referred users trade more actively or generate more revenue for the broker. The amount of compensation may depend on the agreement between Pulse Signals and the broker. Broker compensation may influence which broker is featured, recommended or displayed more prominently through the Service. A referral does not mean that: - The broker is suitable for you - The broker offers the lowest fees - The broker provides the best execution - The broker is available or regulated in your country - Pulse Signals guarantees the broker's conduct or solvency You are not required to use a promoted broker. You should independently compare available brokers before creating an account or depositing funds. ## 11. Separate broker relationship A broker is an independent third party. Your brokerage account is governed by the broker's own agreement, privacy policy, fee schedule and risk disclosures. Pulse Signals does not control and is not responsible for: - Account acceptance or rejection - Identity or compliance checks - Deposits and withdrawals - Custody of funds - Execution prices - Spreads and commissions - Margin requirements - Trading restrictions - Account suspension - Broker support - Broker insolvency - Regulatory or compensation protections Any dispute concerning brokerage services must be addressed directly with the broker. ## 12. Fees and subscriptions Pulse Signals may offer free and paid access. Before purchasing a paid plan, you will be shown the applicable price, currency, billing period and taxes. A recurring subscription renews at the disclosed interval until canceled. You may cancel through the available billing settings. Cancellation stops future renewals, and access normally continues until the end of the period already paid for. Payments may be processed by a third party under its own terms and privacy policy. Except where required by law or expressly stated at checkout, fees already charged are non-refundable after access to the digital Service has been provided. ## 13. Intellectual property Pulse Signals and its licensors retain all rights in the Service, including its software, interface, branding, documentation and original content. Subject to these Terms, you receive a limited, personal, non-exclusive, non-transferable and revocable right to use the Service during your authorized access period. You must not: - Resell or sublicense the Service - Copy or redistribute substantial parts of the Service - Scrape or extract data in bulk without permission - Circumvent access controls - Reverse engineer the Service except where law expressly permits it - Use the Service to build a substantially similar competing product - Remove copyright or ownership notices These restrictions do not transfer ownership of your uploaded content or independently created strategy ideas to Pulse Signals. ## 14. Acceptable use You must not use Pulse Signals to: - Violate applicable law - Manipulate financial markets - Commit fraud - Interfere with the Service - Introduce malware - Gain unauthorized access - Test vulnerabilities without permission - Infringe another person's rights - Overload infrastructure - Misrepresent Pulse Signals outputs as guaranteed results - Redistribute access or outputs in violation of these Terms We may use reasonable technical measures to prevent misuse. ## 15. Third-party data and services Pulse Signals may depend on market-data providers, hosting providers, artificial-intelligence providers, brokers and other third parties. Third-party data may be delayed, incomplete or inaccurate. Third-party services may change or become unavailable without notice. Pulse Signals does not guarantee the performance, availability or accuracy of a third-party service. ## 16. Service availability We aim to provide a reliable Service but do not guarantee uninterrupted, timely or error-free access. We may maintain, update or modify the Service. Features may be changed where reasonably necessary for security, legal compliance, technical maintenance or product improvement. If a change materially reduces a paid service, we will provide any notice or remedy required by applicable law. ## 17. Suspension and termination We may suspend or terminate access where reasonably necessary to: - Address a security threat - Prevent fraud or abuse - Investigate a material breach - Respond to nonpayment - Comply with law - Protect Pulse Signals, users or third parties Where appropriate, we will provide notice and an opportunity to resolve the issue. You may stop using the Service at any time and may request account closure by contacting [legal@pulse-signals.com](mailto:legal@pulse-signals.com). Termination does not affect obligations that arose before termination. ## 18. Disclaimer of warranties To the maximum extent permitted by law, Pulse Signals is provided on an "as is" and "as available" basis. We do not warrant that: - Backtests will be accurate - Historical data will be complete - Generated strategies will be correct - A strategy will be profitable - The Service will always be available - Every error will be corrected - The Service will meet every user's requirements Nothing in these Terms limits mandatory warranties or consumer rights that cannot lawfully be excluded. ## 19. Limitation of liability To the maximum extent permitted by applicable law, Pulse Signals and its operator, contractors and service providers will not be liable for: - Trading or investment losses - Decisions based on a backtest - Errors in generated strategies - Incorrect historical data - Loss of profit or opportunity - Loss or corruption of uploaded files - Conduct of a broker or other third party - Indirect, incidental, special or consequential damages Where liability cannot be excluded, total aggregate liability connected with the Service will not exceed the greater of: - The amount paid by you to Pulse Signals during the six months before the event giving rise to the claim; or - EUR 100 This limitation does not apply to fraud, deliberate misconduct or liability that applicable law does not permit us to limit. ## 20. Privacy The Privacy Policy explains how Pulse Signals processes personal information, uploaded files and broker-referral data. By using the Service, you acknowledge the processing described in that Policy. ## 21. Changes to these Terms We may update these Terms to reflect changes to the Service or applicable law. The revised Terms will be published with a new effective date. We will provide additional notice of material changes where required. ## 22. Governing law These Terms are governed by the laws of the Republic of Cyprus, subject to mandatory consumer protections applicable in your country of residence. Before starting formal proceedings, contact [legal@pulse-signals.com](mailto:legal@pulse-signals.com) and allow a reasonable opportunity to resolve the dispute. ## 23. General provisions If part of these Terms is unenforceable, the remaining provisions remain effective. A delay in enforcing a right does not waive that right. Pulse Signals may transfer these Terms as part of an incorporation, restructuring, financing or transfer of the Service, subject to applicable law. These Terms, the Privacy Policy, the Risk Disclosure and any terms displayed at checkout form the agreement governing your use of Pulse Signals. ## 24.
